Shipping advice:The sellers shall immediately,upon thecompletion of the loading of the goods,advise the buyers of the ContractNo.,names of commodity,loading quantity,invoice values,grossweight,names of vessels and shipment date by TLX/FAX.

12．检验与索赔： Inspection and Claims: ①卖方在发货前由________检验机构对货物的品质、规格 和数量进行检验，并出具检验证明书。 The buyers shall have the qualities,specifications, quantities of the goods carefully inspected by the____Inspection Authority,which shall issue Inspection Certificate beforeshipment. ②货物到达目的口岸后，买方可委托当地的商品检验机构对货物进行复检。如果发现货物有损坏、残缺或规格、数量与合同规定 不符，买方须于货到目的口岸的____天内凭____检验机构出具的检验证明书向卖方索赔。 The buyers have rightto have the goods inspected by the local commodity inspection authorityafter the arrival of the goods at the port of destination.If the goodsare found damaged/short/their specifications and quantities not incompliance with that specified in the contract,the buyers shall lodgeclaims against the sellers based on the Inspection Certificate issued bythe Commodity Inspection Authority within ____days after the goodsarrival at the destination. ③如买方提出索赔，凡属品质异议须于货到目的口岸之日起____天内提出；凡属数量 异议须于货到目的口岸之日起____天内提出。对所装货物所提任何异议应由保险公司、运输公司或邮递机构负责的，卖方不负任何责任。 Theclaims,if any regarding to the quality of the goods,shall be lodgedwithin ____days after arrival of the goods at the destination,if anyregarding to the quantities of the goods,shall be lodged within____ daysafter arrival of the goods at the destination.The sellers shall nottake any responsibility if any claims concerning the shipping goods isup to the responsibility of Insurance Company/TransportationCompany/Post office. 13．人力不可抗拒：如因人力不可抗拒的原因造成本合同全部或部分不能履约，卖方概不负责，但卖方 应将上述发生的情况及时通知买方。 Force Majeure:The sellers shall not hold anyresponsibility for partial or total non 瞤erformance of this contract dueto Force Majeure.But the sellers shall advise the buyers on time ofsuch occurrence.
14．争议之解决方式：

Disputes settlement: □任何因本合同而发生或与本合同有关的争议，应提交中国国际经济贸易仲裁委员会，按该会的仲裁规则 进行仲裁。仲裁地点在中国。仲裁裁决是终局的，对双方均有约束力。 All disputes arising out of thecontract or in connection with the contract,shall be submitted to theChina International Economic and Trade Arbitration Commission forarbitration in accordance with its Rules of Arbitration in China.Thearbitral award is final and binding upon both parties. □ 15．法律 适用： Law application: 本合同之签订地、或发生争议时货物所在地在中华人民共和国境内或被诉人为中国法人的，适 用中华人民共和国法律，除此规定外，适用《联合国国际货物销售公约》。 It will be governed by the law ofthe People’s Republic of China under the circumstances that thecontract is signed or the goods while the disputes arising are in thePeople’s Republic of China or the defendant is Chinese legal person,otherwise it is governed by United Nations Convention on Contract forthe International Sale of Goods. 本合同使用的FOB、CFR、CIF、DDU术语系根据国际商会 《Incoterms 1990》。 The terms in the contract are based on INCOTERMS1990 of the International Chamber of Commerce. 16．文字：本合同中、英两种文字具有同等 法律效力，在文字解释上，若有异议，以中文解释为准。 Versions:This contract is made out inboth Chinese and English of which version is equally effective.Conflictsbetween these two languages arising therefrom,if any,shall be subjectto Chinese version. 17．附加条款(本合同上述条款与本附加条款有抵触时，以本附加条款为准)： Additional Clauses:(conflicts between contract clause hereabove and thisadditional clause,if any,it is subject to this additional clause) 18．本合同共____份，自双方代表签字(盖章)之日起生效。 This contract is____incopies,effective since being signed/sealed by both parties. 卖 方代表人：
